纵观世界的经济发展史，在全球占有举足轻重地位的企业无一不是通过并购重组来实现自己的目标。随着我国资本市场的不断完善，越来越多的企业也采用了并购的方式使自己迅速成长。而上市公司数据的公开，股市的动荡不定，使得人们对上市公司的并购活动格外注意。到底并购活动对上市公司的业绩有何影响，我国上市公司并购活动的近况如何，以及怎样的并购才能真正提高企业的效益，我国企业的并购是否考虑到持续的长期绩效，研究这些问题，对提高上市公司的运效率，增加社会财富，具有重要的实践意义。本文有针对性地选取了在2004年发生并购活动的33家上市公司做样本，选取样本公司2003至2007年5年的财务数据，通过盈利能力、成长能力、偿债能力、股本扩张能力四个方面的11个财务指标，建立并购绩效持续性评价体系，利用因子分析的方法对这些财务指标进行整合，对样本公司的综合得分进行比较，以评价上市公司并购重组的绩效。通过研究发现，我国上市公司的并购活动并没有像想象中的那么乐观，多数的并购活动只是在短期内取得了比较好的效益，而一年以后，业绩迅速下滑，这说明我过上市公司并购存在一定的盲目性，有些并购甚至回损害股东的权益，而且我国部分上市公司的并购忽略了并购后的整合。
