Recipient agrees that it will maintain in confidence all information and shall treat the information in accordance with the terms of this agreement. Notwithstanding the foregoing, restrictions concerning the information will not apply to any portion of the information which:
(1)is known to recipient at the time of disclosure thereof as evidence by written records in the possession of recipient;or
(2)is or becomes publicly available through no act or omission of the confidential recipient;or
(3)is subsequently disclosed to recipient by a third party having rightful possession of such information and the legal right to disclose it to the recipient;or
(4)is independently developed by an employee of recipient who did not have access to any of provider's information, as documented by the recipient's written records;or
(5)is required to be disclosed by law, after giving provider reasonable notice and opportunity to respond prior to such required disclosure.
