一、 经贸局所需提供资料如下：
1、 企业要求转让股权的请示
2、 董事会关于投资者转让股权的决议（各董事签字原件）
3、 股权转让协议书（各方签字原件、范本请看附件002）
4、 新章程（投资者签字盖章原件、范本请看附件003）
5、 新董事委派书及护照复印件、董事会成员名单、监事委派书及护照复印件
6、 原章程复印件（外经局已盖章确认的）
7、 批准证书原件（正副本），营业执照副本复印件（加盖公章）
8、 最近一期验资报告复印件、上一年审计报告复印件、截止申报上月的资产负债表等
9、 受让方资信证明（国外银行出据的，外文需附翻译件）
10、 受让外方新法人股东会关于受让股权的决议
11、 受让外方新法人股东营业执照或商业登记证，受让外方新自然人护照复印件。（外方的注册证明必须经当地公证机构公证并由大使馆认证（原件），外文需要附翻译件）
12、 原董事会成员名单的复印件
13、 其他可能需要的材料
注：签字应用黑色签字笔
二、 招商局所需资料提供如下：
1、 法人代表签署的《外商投资企业变更（备案）登记申请表》
2、 董事会决议
3、 批准证书（副本1）
4、 高新开发区管委会的批文
5、 新章程
6、 新一届《董事（监事）会成员名单》及护照复印件
7、 新任《法人代表登记表》
8、 外方投资者的注册证明必须经所在国家公证机关公证并经我国驻当地使馆认证
9、 股权转让协议
10、 境外股东与境内授权人签署法律文件送达授权委托书（范本请看附件004）
11、 公司营业执照正、副本
