1.Appointment
Party A & party B hereby appoint Party C as its Exclusive Agent to solicit orders for the products stipulated in Article 3 from customers in the territory stipulated in Article 4, and Party C accepts and assumes such appointment.

5. Price
Party A&B have responsibility to quote the most reasonable prices to Party C at all time within the validity of this agreement. And all the prices quoted to Party C should be in U.S. Dollars on the basis of CIF net Korea ports.
Party C shall undertake to solicit orders for the above products in Article 3 from customers in the above territory in Article 4 during the effective period of this agreement.
The price for each individual transaction shall be fixed through negotiations between Party C and the customer, and subject to Party A&B's final confirmation.
