广告合同
甲方（广告客户或代理单位名称）： (以下简称甲方)
乙方（广告发布单位名称）： （以下简称乙方)
在自愿、平等、互利的基础上，甲、乙双方本着以后长期合作的愿望，就甲方在乙方代理的酒店地图的广告业务进行了友好协商，达成以下合同协议：

基本条款
一、甲方的权利与义务：
1．提供“探索上海”的广告版面所需要的文字、图片及相关资料的完稿；
2．确定业务联络员，向乙方提供后续广告的文字与图片更新所需资料完稿；
3. 甲方必须保证刊登的广告内容和数据真实，不含有虚假、欺骗和误导内容，否则由甲方承担法律责任。
4. 因甲方提供的信息而发生的侵权（专利权、著作权、肖像权等）纠纷，由乙方承担法律责任。甲方由此而对外承担了相关责任的，可向乙方追偿。
5．监督乙方正常为甲方提供广告服务。
6. 甲方刊登的广告内容和通讯地址等如有变动，甲方须在地图投放前20个工作日以书面形式通知乙方，否则乙方仍刊登原广告稿，并依照本合同向甲方收取正常费用。
二、乙方的权利和义务：
1．在乙方的“探索上海”功能地图上为甲方做的广告，广告的布局、结构、文字内容、图片资料等和甲方协商议定；
2. 乙方在“上海探索”功能地图上提供甲方1/24版广告版面，版面为彩色广告版面（2.5厘米H*5厘米W）
3．乙方有权审查广告内容和表现形式，对不符合法律、法规的以及虚假的广告内容和表现形式，乙方应要求甲方做出修改，甲方做出修改前，乙方有权拒绝发布。
4.“探索上海”功能地图投放位置为上海部分四、五星级酒店的礼宾部前台以及酒店式公寓的前台。
5.“探索上海”功能地图投放起始日期为2009年6月1日，终止日期为2010年5月31日。

三、异议解决：
合作期间，双方中任何一方对另外一方在执行本协议的行为有异议时，应及时通知对方，协商解决。

四、违约责任：
1． 协议双方对协议的变更或终止，必须以书面形式进行确认。任何一方不得擅自变更和终止协议，否则构成违
