（除非在财务报表上做出说明）在资产负债表日，不能有以任何公司资产做担保的负债（除非按照法律规定操作的），并且同时，为了保护第三方利益，资产负债表上资产必须为公司所有，没有任何其他方对表内资产有要求权 。

PS这个意思就是不能有任何表外负债，同时，表上所列的资产必须是实打实的，不能有资产拿出去抵押什么，free of charge 的意思就是 对表内资产没有要求权，

（除中所表明的财务报表）没有负债在资产负债表日期担保（并非操作法）任何资产的公司，资产在资产负债表上有超过所拥有的公司没有任何收费有利于第三方。
