Vendor’s written acceptance by returning the Acceptance Copy of this Order, or shipment of any of the goods or the commencement of the manufacture of the goods ordered hereunder shall constitute acceptance of this Order, including the terms and conditions contained therein. When accepted by Vendor this Order shall constitute the entire agreement between PDOC and Vendor and no terms or conditions, other than those stated herein, and no agreements or understanding oral or written in any way purporting to modify this Order, or it’s terms and conditions, whether contained in Vendor’s quotation or acknowledged elsewhere, shall be binding on PDOC unless such agreement or understanding is documented by PDOC’s written authorization thereof.
9. TERMINATION
PDOC may at any time terminate this Order in whole or in part by written notice to Vendor if PDOC determines, in its sole discretion, that its need for the goods to be supplied hereunder is reduced
