双方都应对另一方直接或间接透露的资料进行严格的保密，并且对其的使用仅限于分别为了合同的目的，例如：对装置的建造、运转、保养与修理，或提供给他的律师、审计员、保险公司、或会计师，并应保证资料透露给每一方都是为了给予透露方建议或报告所专用。

以上提及的责任并不适用于以下信息：
(1).在披露时已经为公众所知晓或不久之后为公众所知晓而并非合同双方的疏忽，或
(2).在一方披露给另一方之前，其内容已属于另一方的法定财产且之前并未直接或间接从双方得到该信息，或
(3).在一方透露之后，由第三方以合法的形式透露给一方

双方有责任确保上述承诺同样得到其员工和/或参与合同的第三方的员工的遵守。

保密义务的时间期限：当部分或全部保密资料成为公开范围（除任意一方违反该合同的保密义务外）；或自合同生效之日起十年后；适用最先到的日期。
