摘要：商业秘密又称工商秘密，它能给权利人带来经济利益，往往会引起权利主体竞争对手的关注，利用各种手段获取商业秘密，从而使合法的权利主体丧失竞争优势，对其生产经营造成不利影响。中国加入WTO以后，对商业秘密的保护，不仅关系到商业秘密权利人的利益，而且还关系到民族工业在国际竞争中的地位，进而影响中国在国际市场竞争中的成败。 商业秘密越来越成为市场竞争中的极重要的因素，鉴于我国对此方面立法的薄弱，本文依据我国现行的法律法规，参照我国相关法律法规，论述了商业秘密 的涵义及法律特征，侵犯商业秘密的表现形式及法律责任和商业秘密的法律保护，制订《商业秘密保护》的必要性，并对有关商业秘密立法的问题进行了初步的探讨。
