The Dow Chemical Company and its affiliates (“TDCC”) desire to sell certain assets relating to its global film coated metal substrates (Engineering Laminates) product line, excluding manufacturing assets. TDCC is approaching selected companies who we expect may have a strategic interest in these assets.
The film coated metals product line, marketed under the ZETABON™ brands, generated revenues of USD $21 million in 2006. TDCC has established a strong leadership position in North America and Europe. TDCC wishes to transfer ownership of this product line to a new owner, as this business is not considered strategic for TDCC.
Attached is a draft of a Confidentiality Agreement. Should you be interested in this opportunity, please sign a copy and return it to me by February 22. Upon receipt, of the signed agreement, we will provide you with a more detailed offering memorandum.
