委托代理关系理论起源于上世纪七十年代，最早是由罗斯提出来的。虽然经济学家们对委托代理关系理论的研究已有较长的历史，但各国的企业在公司治理中实际应用到该理论时，还是不可避免的会遇到这样或那样的问题。我国股市只有十几年的历史，尚属于新兴市场，在许多方面还不够成熟。我国的上市公司在公司治理中也存在较多的问题。而委托代理关系问题作为上市公司治理中的核心问题，不合理之处则更为突出。因此，研究我国上市公司治理中的委托代理关系问题对我国上市公司的治理更具有现实的意义。本文试就此问题作一探讨，并就委托代理关系问题的解决方法提出自己不成熟的主张。本文共分五个部分：第一部分介绍公司治理及委托代理关系等方面的知识，包括公司治理概念的提出及其应用。委托代理关系概念特点、委托代理关系结构与公司治理的关系以及委托代理关系在公司治理方面所起到的作用。第二部分运用对比法对中美两国上市公司关于委托代理关系结构进行对比，从中得出我国上市公司委托代理关系结构的特殊性。第三部分引用实例说明我国上市公司委托代理关系结构的现状及所面临的问题。第四部分运用实证法对我国上市公司治理中的委托代理关系问题进行具体分析，其中包括股权过于集中化，信息不对称等问题，以及这些问题对我国上市公司治理所产生的不利影响。第五部分基于上述问题提出相应的治理措施。
