摘 要∶股票期权是许多国家的企业在实践中证明了的一种行之有效的分配激励制度。目前，股票期权制度在众国的企业中也有试点，这是对中国企业管理层激励机制的一种有益的探索。虽然已经取得了一定的成效，但目前仍处于试验阶段，在试验阶段也出现了很多不完善的地方。尤其是政策与法律环境以及企业内部的治理机制方面。
