摘要：控股股东和中小股东之间的利益冲突、控股股东对上市公司和中小股东的疯狂掠夺——掏空行为是我国上市公司的症结所在。本文首先阐述了掏空行为的主要表现方式，并且分析了掏空行为产生的根源，阐述了上市公司被掏空的危害。2005年5月开始的股权分置改革使所有股份在2-3年内都将获得流通权，大股东所拥有的股票具有了流通性变现的能力，股价将成为衡量上市公司价值的尺度，大小股东利益趋向一致,大股东对上市公司的掏空将大为减少。但是，我国得法法律制度不够完善，并不能很好的保护中小股东的利益，在这种情况下，大股东在操纵公司的过程中，处于自身利益的考虑所作的违背公司长远利益的行为依然会发生，只是损害公司利益的方式会发生变化。本文以近年中国发生掏空的上市公司为样本，得出六类主要掏空模式，并分析了股改后可能出现的大股东损害公司利益的新方式，最后提出了控制上市公司被掏空的具体对策,提出我国资本市场要发展必须要治理大股东这种肆无忌惮的掏空行为。
