经过多年的努力，我国上市公司治理结构方面已经取得了许多可喜的进步，但是仍然存在许多问题或不足，这主要表现为股权结构不合理，内部人控制，高层管理者激励制度有待改善，公司治理的法制环境不完善，等几个方面。要完善公司治理结构，笔者认为应从以下几个方面入手：一是通过国有股回购和国有股减持等手段，在一定程度上改善和优化股权结构；二是充分重视人力价值，建立有效的激励机制加快法制建设，完善法规制度，为公司治理所需的制衡机制和监督机制的建立提供制度支持；同时督促上市公司建立自己的公司治理结构章程，加快上市公司的诚信建设。
本文首先简要评介了公司治理结构的基本理论，包括公司治理结构的内容,基本特征,公司治理结构的功能.分析我国目前上市公司治理结构的现状以及形成的原因.国外公司治理结构模式及其启示.接着剖析了当前我国上市司治理结构中存在的股权结构不合理，“内部人控制”严重，有效的激励和约束机制缺乏等突出问题，最后提出了治理和完善我国上市公司治理结构的思路和对策。
