第1条 甲方承诺：
1. 甲方在协议期内，在乙方所属代理区域内独家向乙方供货；
2. 为配合乙方销售，扩大甲方产品销量，甲方根据乙方的销量向乙方提供广告宣传和相关促销；
第2条 乙方承诺：
1. 设有专门的经营场地、人员，并保证充裕的资金销售甲方的产品；
2. 乙方不得经营与甲方产品同类别的竞争品牌产品；
3. 努力完成甲方制订的销售任务。乙方向甲方承诺：协议期完成销售任务_________万元，并且每月任务不低于___________万元，如连续2个月完不成最低销售任务，则甲方有权停止向乙方供货，并取消乙方总代理资格
4. 对甲方所有销售文件严格保密。
5. 乙方工商登记资料需要变更时，应提前2个月将变更事项通报甲方，并在变更后10天内报甲方备案。
第3条 违约条款：
1. 甲方违反此协议所规定的条款，乙方可以书面提出异议及补偿要求，甲方应在尊重事实及双方利益基础上尽快给予解决；
2. 乙方违反此协议所规定的条款，甲方有权根据乙方违约情况作出处理决定并有权通报相关的其它分销商；
3. 乙方违反此协议所规定的条款，甲方可采取的措施包括：警告、罚款、加价供货、某一时间内断货（在此期间由甲方直接向其二级分销商或客户供货）、取消代理资格等方式；
4. 乙方经营严重不景气或不积极推销甲方产品或有其他严重违约行为的，甲方可以终止代理资格；
5. 乙方违反本协议第8章第2条第2款，甲方有权取消乙方代理资格；
6. 乙方的严重违约行为造成甲方损失的应承担违约责任并赔偿甲方损失；
7. 甲方决定取消乙方代理资格前一个月应书面通知乙方；
8. 在甲方书面通知乙方取消其代理资格起三个月内，双方结清住来帐务；
9. 本条款未尽事项，参照甲方其他制度执行。
第9章 不可抗力
1. 不可抗力指立约双方在订立合同时无法预见、对其发生和后果不能避免且不能克服的事件。如地震、水灾等自然灾害和政策法规的变更等。
