(a).At closing, Seller shall convey fee simple, marketable and insurable title to the building to buyer by general warranty deed and furnish to Buyer and owner's title insurance binder issued by a title insurance company in the country of China, subject only to:(i)matters approved or waived by Buyer (except for montary liens and encumbrances which may not be waived)and matters specifically set forth herein; (ii)utility and right-of-way easements and other matters of record which do not substantually impair use of the property for its intended purpose;(iii)recorded covenants,easements and restriction encumbering the property, including the Covenants, conditions, and restrictions;and (iv)ad valorem property taxes for the current year(pro-rated to the date of Closing). All deeds of trust,liens and other charges against the property must be paid and cancelled by Seller prior to or at Closing.
(b).Seller shall furnish at Closing and affidavit indemnification agreement showing that
