12. CONFIDENTIALITY
The parties agree that all information connected with this Agreement shall be considered as strictly confidential and shall not be subject to disclosure to third parties. All technical information, price lists, business plans and other information relating to the business, affairs or technology of the disclosing party or any of its associated companies, which the receiving Party, its officers, employees or agents may acquire during the performance of its obligations hereunder, shall not be used otherwise than for the sole benefit of the disclosing party or its associated companies in conjunction with the performance of the receiving party's services strictly in accordance herewith, and shall, with this Agreement, be kept confidential and secret both during the term of this Agreement and for five (5) years thereafter. Upon the termination of this Agreement, the receiving party shall return to the disclosing party all such information that is in writt
