摘要：2005 年10 月27 日，全国人大常委会通过了公司法修订案。新公司法的立法理念基本适应了市场经济规律对市场主体的要求，对于活跃市场、繁荣经济意义重大。但由于诸多条件的限制，这部新法仍存在一些突出的问题和不足，亟待进一步研究和解决。本文将阐述新《公司法》的特点，并从三方面揭示其不足，同时，提出了进一步完善我国新公司法的建议。

Abstract: on October 27, 2005, the Standing Committee of the National People's Congress approved the law of corporation amendment. The new law of corporation's legislative idea adapted the market economy rule basically to the market main body request, regarding the active market, promotes economic prosperity the significance to be significant. But as a result of many condition's limits, this innovation still had some prominent problems and the insufficiency, urgently awaits to further study and to solve. This article will elaborate new "Law of corporation" the characteristic, and promulgates its insufficiency from three aspects, simultaneously, proposed further consummates our country new law of corporation the suggestion.
