股权结构是公司治理结构的基础，不同的股权结构会产生不同的治理结构。只有完善的公司治理结构才能保证上市公司经营业绩的优良，而只有股权结构合理才能促进公司治理结构的完善，进而保证公司取得良好的经营业绩。因此，分析我国上市公司股权结构存在的问题，并加以正确的解决，对健全和完善我国上市公司的治理结构有着非常重要的意义。
本文首先找到我国上市公司股权结构存在的问题及其原因，并在参考国外经验和从我国实际出发的基础上，针对这些问题和原因提出相应的对策和建议。笔者的主要观点是我国上市公司股权结构存在的问题中，目前非流通股与流通股并存，非流通股所占比重过高，流通股过于分散是主要缺陷。这种不合理的股权结构造成了上市公司治理的不平衡、不彻底、不完善，也造成我国证券市场资源配置效率低下等诸多弊端。从外国先进经验来看，可借鉴：上市公司中建立经理人股票期权制度和进一步发展法人间相互持股，发挥银行对企业的监控作用等措施来优化我国上市公司股权结构。再结合本国实际情况来看，可通过：股权实质性的全流通、引入机构投资者、清理大股东占用省事公司资金制度和完善资本市场等对策来完善我国上市公司的股权结构。
