由于中美价值观在人际关系方面的不同，中美双方谈判人员在调节和处理纠纷时所考虑的因素及它们的轻重也会有很大的差别。虽然我国的法治建设已取得重大进步，但由于受到价值观的深刻影响+在日常生活中人们还是倾向于首先以道德标准来判断是非，其次考虑的是传统和习俗，第三位考虑的才是法律和条例；而对美国人而言，这几个方面的排列顺序恰恰相反。也就是说，中国人往往会从伦理道德上来考虑问题，更倾向于利用自己的“关系”或者“后台”来解决问题，即使这些问题本可以通过正常途径来解决；而美国人则惯用法律手段，很少会采取正常办事途径以外的私人途径来解决问题，出了问题就依法解决双方的分歧与争端，因此他们会把较多的时间和精力用在合同的制定和执行上。由于中方往往首先以道德标准去评判对方，在商务谈判中比较看重对方的品性、诚信等，而忽视如何从法律上去防范风险，因此在国内常可见到此种情形，一个重大项目，谈判双方基于信赖对方往往在未签署法律文件的情形下就开始实施，以致产生纠纷时无法挽回损失；而法制观念根深蒂固的美方则注意谈判对方所在国的法律，同时将谈判成果以法律文件的形式固定下来，在他们看来只有合同才可以将双方在合作中的角色、权利和义务规定清楚，因此他们更注重谈判中的细节问题。
