[摘要] 随着我国市场经济与资本市场的快速发展，上市公司重组也从无到有，从少到多，层出不穷。尤其是近二、三年来，重组浪潮更是风起云涌，一浪高过一浪。重组已成为我国深化企业改革，调整经济结构，优化资源配置和盘活存量资产的主旋律。这既是我国宏观经济发展的客观要求，也是资本市场发展的必然结果。
企业并购重组是当今世界经济发展的一个重要趋势，也是企业做强做大的战略选择。近几年来，随着经济全球化趋势的进一步发展，企业并购重组日益受到许多跨国公司乃至国家政府的极大关注。在我国，企业并购重组也得到了企业界和政府有关部门的高度重视，同时，企业并购重组成为国有企业优化结构和加快发展的重要形式。随着国有企业改革的深化和国有经济布局结构的战略性调整，国有资本进一步向关系国家安全和国民经济命脉的关键领域和重要行业集中，形成了一批具有较强竞争力的大公司大企业集团。
企业的兼并与收购，既是企业资产重组的重要形式，也是企业生产经营的一种高级表现形式。上市公司是我国国民经济的骨干力量，其并购重组活动也一直领先于其他各类企业，并因此为投资银行提供了大量的财务顾问业务以及为二级市场投资者参与并购重组行情提供了大量机会。因此，加强对上市公司并购重组情况的研究，对于券商开拓投资银行业务和发展证券经纪业务，具有重要的作用。

本文对重组的概念、模式和我国上市公司重组的发展情况做了简要的介绍。在此基础上，并对重组与产业调整的关系，重组方式、等进行了初步分析。
