The Company may by a resolution of directors [提示：董事会决议] include in the computation of surplus [提示：赢利] for any purpose the unrealized appreciation of the assets of the Company, and, in the absence of fraud [提示：欺诈], the decision of the directors as to the value of the assets is conclusive, unless a question of law is involved.
