1、 合作期限：
经双方协商，合作期为 年，即自至。双方中任何一方均有权在本协议到期前一个月内向对方提出续约通知，否则协议到期后将自行终止。
2、 甲方的权利和义务

6） 甲方不得做有损乙方信誉、商业诚信、人员个人权利等方面的事情。
7） 甲方负责甲方人员的工资、差旅费用及公关费用。
3、 乙方的权利和义务
1） 乙方负责该项目市场阶段及实施阶段等全过程中与系统相关的技术服务；
2） 甲方与乙方就该项目系统的技术服务、设备供货等内容签订相应合同后，由乙方负责该项目系统核心设备的供货、及该系统安装指导调试指导等技术服务。
3） 乙方应为甲方提供系统相关技术培训；
4） 乙方负责技术资料的准备，并对甲方人员提供相应技术支持；
5） 乙方有保密义务，对甲方在此项目的渠道、客户关系、商业信息、提供的技术资料等在没有经过甲方同意的情况下，不得将该项目相关信息透露给任何形式的第三方；
6） 乙方不得做有损甲方信誉、商业诚信、人员个人权利等方面的事情。
7） 乙方负责乙方人员的工资、差旅费用。
4、 特别条款
由于乙方对自有技术的掌握的优势，乙方的报价应为给甲方的最优惠的合作伙伴价格，并在签定合同前向甲方递交合同报价，甲方根据乙方的报价可进行产品询价，经双方认可后执行，在同等质量前提下优先采购低价产品。
5、 以上双方合作项目，若甲方能签订该项目合同，在同等条件下，甲方应该优先和乙方签订相应的商务合同。乙方不可以绕开甲方
