一、甲方为乙方定做产品，按乙方传真或电话要约进行生产和包装，乙方定做产品造成侵权等纠纷由乙方承担全部责任。凡是乙方委托甲方生产的产品及包装物均由乙方全部包销，甲方不得将该产品擅自向其他市场销售；但没贴乙方商标及标识的产品（包括副品）由甲方自行销售。
此价含甲方送至乙方仓库的运费，含17%的增值税发票。此后，新增产品双方另议，以甲方发货清单为准计算货价。
三、发货及验收办法和付款方式：1、签订合同三十天内将货发出，乙方应按要约接收甲方货物。甲方直接送货到乙方仓库，以乙方仓管员签收为准；甲方委托物流公司联运的货物，以物流公司运输凭证为准。2、签订合同三天内乙方预付30%货款给甲方；签订合同三十天内乙方到甲方仓库验货，甲方收到乙方全部货款即装发货。
四、质量问题：甲方生产的产品应符合国家“QB/T2580-2002”标准规定的正品分等要求。乙方委托甲方定做的产品及包装物按乙方书面要求制作，在煲体或盖子成瓷釉面上粘贴乙方不干胶标志。但甲方生产的产品把、耳下方刻有“JS”标志。如有质量问题，乙方在验货时向甲方提出异议。
五、其他问题：甲方为乙方定做的包装物及商标，乙方应出具委托证明，定做包装物的数量金额应在提出要货当天内全部预付款给甲方，甲方收到预付款后开始印制乙方委托甲方生产的包装物。定做每个品种不得少于伍仟只，否则乙方应付给甲方每个品种制版费1000元。因乙方预付款延误时间，造成甲方延迟发货，由乙方负责。新款包装物延加制版期15天，以此顺延发货日期。
六、解决协议纠纷方式：友好协商。协商不成，由原告方所在地人民法院解决。
七、协议期限：协议期满双方没有提出异议，则继续按本协议执行。本协议一式两份，甲乙双方各执一份，盖章生效。
