THE AGENT RELATIONSHIP
An agency relationship arises when one person, who is called the agent, is authorised or considered by law as authorised to represent another person, called the principal, in such a way as to affect the principal’s legal position. The contract between the principal and agent is subject to the normal rules of contract law, and as such the parties may enter into either a written or an oral contract. In order therefore to constitute one party the agent of another the principal should expressly or implicitly agree that the other shall represent him or act on his behalf, and the party who is to act as the agent must consent to represent the principal in the transaction or negotiations. The parties must normally contract expressly to be bound by the agency relationship, but an agency relationship may also arise by operation of law in two situations, namely an agency by estoppel or agency by necessity.
