General Terms.
(a)The terms and conditions in this document govern and control the terms and conditions of the sale unless there are conflicting terms explicitly identified by BUYER for inclusion in the purchase order, in which case the conflicting terms of the purchase order shall prevail.
Pricing and Payment.
(a) The current PRODUCTS sales prices are set forth on Exhibit A hereto. SELLER reserves the right to change Exhibit A upon thirty (30) days written notice to BUYER.
(b) BUYER (or its designee) shall pay undisputed SELLER invoices for completed sales within sixty (60) days from BUYER’s receipt of said invoice. All invoice discrepancies or disputes should be initiated by BUYER or its designee within 10 days from the day that the invoice is received by BUYER.
4. Shipment: SELLER shall be responsible for all costs associated with shipping to port of export including insurance. Title and risk of loss shall pass to the BUY
