DISTRIBUTOR shall order from COMPANY such quantities of Products as it deems needed to meet the requirements of DISTRIBUTOR in its sole discretion may from time to time require from the COMPANY for the trade in the Territory. COMPANY agrees to give careful consideration to all orders received from DISTRIBUTOR pursuant to this Agreement, provided, however, that any and all such orders whether for DISTRIBUTOR’s own stock, for resale or for direct shipment to customers of DISTRIBUTOR, shall be subject to acceptance by COMPANY. COMPANY shall notify DISTRIBUTOR within such reasonable period as may be required by DISTRIBUTOR as to whether the COMPANY accepts such orders.

经销商应以上市公司的这类产品的数量，因为它认为需要满足经销商自行不时需要从贸易公司在该领土。公司同意认真考虑所有收到的订单来自经销商根据本协议，但前提是，任何和所有此类命令是否对经销商自己的库存，为销售或直接运到客户的分销商，须经接受公司。公司须通知经销商的合理期间可能需要的分销到该公司是否接受这样的命令。
