1.双方同意和约有效期为十年，自营业之日起计算，和约到期前6个月，如果需要继续合作，可经双方股东代表同意后，继续合作。
2.A方负责土地，地上建筑物，员工宿舍，办公室，对外所有公关费用，作为投资金额
3.B方负责必要之装潢设备，器具，音像及应运必需品，员工宿舍之必需设备，办公室设备，作为投资金额
4.双方投资之资产归双方权利所有
5.营业日起XX公司应每三个月召开股东会议，并提供每月应运报表，日记帐，现金帐等。
6.双方同意，将B方认定后之投资金额，每次以三年限期，以分摊在每月之开销支出，作为公司设备改善之准备金
7.双方同意，营业日起三年内，每三个月将JIN利所得，公司会计部门核定后，以现金方式40%转交A代表，60%转交B方代表

Contract
