36. (a) If the company shall be wound up whether voluntarily or otherwise the liquidators may with the sanction of a special resolution divide among the contributories in specie or kind any part of the assets of the company and may with the like sanction vest any part of the assets of the company in trustees upon such trusts for the benefit of the contributories or any of them as the liquidators with the like sanction think fit.
(b) If thought expendient any such division may be otherwise than in accordance with the legal rights of the contributories and in particular any class may be given preferential or special rights or may be excluded altogether or in part; but in case any division otherwise than in accordance with the legal rights of the contributories shall be determined on any contributory who would be prejudiced thereby shall have a right to dissent and ancillary rights as if such determination were a special resolution passed pursuant to section 237of the ordinance.

36.（a）如果公司能够被无论是自发的或者由清算人通过由负连带偿还责任人按规定分摊的特殊的决议的认可，或通过公司所有资产并具有类似认可在（考虑）负连带偿还责任人的利益（情况下）授权公司的所有资产交由委托人，或者它们其中任何清算人认为合适的认可。

(C)在上述的任何被分配的股权包括那些有调用或其他负债，分摊方案中的任何参与人对上述股权分摊在特别决议通过以后10天内用书面的方式直接通知清算人出售其所有部分，并支付其净受益，并且清算人在可行的情况下应该相应执行。

C 如果上述提到的要分配的股份包含赎回责任或者其他责任，那么任何在该分配下对上述股份享有权利的个人将在特殊决议通过后的十天之内，通过书面方式要求清算人出售其拥有的份额并将净收益交付给他，清算人将在可以实现的情况下，遵照执行。
