Performance Allocation
The General Partner shall receive a performance allocation (“Performance Allocation”) at the close of each calendar quarter equal to 25% of the portion of the Partnership’s annual net income (including realized and unrealized gains and losses) attributable to each Limited Partner at the close of such calendar quarter. The Performance Allocation is made with respect to each Limited Partner at the end of each calendar month (and on the withdrawal of funds by a Limited Partner or the distribution of the funds by the General Partner during a calendar year). The General Partner may waive all or any portion of the Performance Allocation with respect to any Limited Partner during any calendar year.
