23.5 Limitation of responsibility of Existing Lenders
(a) Unless expressly agreed to the contrary, an Existing Lender makes no representation or warranty and assumes no responsibility to a New Lender for:
(i) the legality, validity, effectiveness, adequacy or enforceability of the Finance Documents or any other documents;
(ii) the financial condition of any Obligor;
(iii) the performance and observance by any Obligor of its obligations under the Finance Documents or any other documents; or
(iv) the accuracy of any statements (whether written or oral) made in or in connection with any Finance Document or any other document,
and any representations or warranties implied by law are excluded.
(b) Each New Lender confirms to the Existing Lender and the other Finance Parties that it:
(i) has made (and shall continue to make) its own independent investigation and ass
23.5 现有贷款人责任的限制
(a) 除非明确的不同意，现有的贷款人不能做任何代表或授权且不能对新的贷款人采取任何的责任，包括：
(i) 此融资文件或任何其他文件的合法性，妥当性，有效性，充足性或强迫性；
(ii) 任何债务人的融资条件；

(b) 每一个新的贷款人授权现有的贷款人和其他的融资当事人：
(i) 做（和将继续去做）对每一个债务人及其参与此协议的相关实体的融资条件和事务的独立调查和评估，并不专有地依赖于与任何融资文件有关的现有贷款人所提供的信息；且
(ii) 将继续对每一个债务人及其相关实体做自身独立的信用价值评估，当在此融资文件或任何委托事项下可能未付的任何数目生效的时候。
(c) 没有任何融资文件可以迫使现有的贷款人：
(i) 在此条款23的规限下，从新的贷款人那里接受已分配或转让的任何权利和义务的再转让；或
(ii) 支持任何直接或间接由新的贷款人由于任何在融资文件规限下义务的债务人的不作为所产生的损失。
有限责任现有放款
(a)除非明确同意的情况下, 现有贷款作出任何陈述或保证和承担任何责任,提高到一个新的放款为: (一)合法性,有效性,效益,充实或可执行的财务文件或任何其他文件; (二)财务状况的任何义务; (三)履行和遵守的任何义务的履行财务文件或其他文件; 或者 (四)准确性任何声明(无论是书面或口头)提出或与任何财务单据或 y其他文件,以及任何明示或默示暗示法被排除在外.
