双方在互惠互利的原则下，经友好协商，就业务合作事宜达成如下协议：
一、 甲方订购乙方生产的“XX”牌设备。
二、 设备价格（RMB）：

备注：1、以上价格含税，运费由乙方垫付，然后由甲方同货款汇到乙方指定的帐号
三、 订货方式
甲方每次订货时需填写乙方的《客户订单》，并签字盖章后传真给乙方。如每次采购数量不超过五套时，应提前三日以书面形式通知乙方；超过五套时应提前七日以书面形式通知乙方。
四、 结算方式
乙方发货后应开具增值税发票给甲方，开票之日起45天内甲方应将全额货款电汇到乙方提供的帐号上。
五、 交货时间
乙方按以上第四条要求收到甲方的订单后，必须保证按甲方要求时间在我市办理发货手续。运输途中货物如有损坏，乙方应出面与运输公司协商解决。
六、 乙方有权对其产品进行技术、材料和工艺上的更新和改进，甲方应给予积极配合。
七、 双方应对本协议内容保密。
八、 乙方承诺对所售产品一年内保修、终身维修。具体保修、维修事项按乙方提供的《售后服务规则》执行。
九、 本协议自签字之日起生效，有效期为一年。本协议应根据中华人民共和国的有关法律进行解释和执行。如果甲、乙双方产生异议，经双方友好协商解决。
十、 本协议一式二份，甲、乙双方各执一份，具有同等法律效力。
