咨询服务合同
本合同由委托咨询者（XXX，以下简称为委托方）为一方，XXXX（以下简称咨询者）为另一方，于2007年12月1日签定。
鉴于委托方意图从咨询者处得到完成投资项目的咨询服务，且咨询者已向雇主表明其拥有进行这项服务所要求的专业技术、人员和技术资源，并同意提供服务，双方特同意按以下条款签订本合同：
1． 定义
除非合同中另有说明，本合同的下列术语具有以下含义：
a）“委托方”指XXX；
b）“咨询者”指XXXX；
c）“适用法律”指在中华人民共和国内具有法律效力的法律和其他文件；
d）“合同”指委托方和咨询者之间签订的合同；
e）“外国货币”指任何非人民币的货币；
f）“服务”指咨询者根据合同条款为完成本项目而进行的工作；
2． 合同的适用法律及使用语言
本合同及其条款的含义和解释以及合同双方的关系受中华人民共和国法律的制约。
本合同以中英文两种文字书写，但有关本合同的含义及解释以英文合同为准。
3． 执行合同的地址
咨询服务将在美国、欧洲和中国进行。
4． 税收
咨询者及其人员应自己交纳公司及个人所得税，交纳中华人民共和国适用法律下所征收的其他有关赋税。
5． 合同的开始、完成、修改及终止
a） 本合同在签署后立即生效。如果本合同在签署后60天内不能执行，签约方的任意一方都有权宣布合同无效。
b） 咨询者应在本合同生效日两周后开始实施咨询服务，并在两年内完成所有的咨询服务。
c） 本合同的有效期为两年，从合同签署之日算起，在合同期满时自动失效。
d） 除非双方签署有书面修正意见，否则，不能对合同进行任何变动和修改。
6． 咨询者的义务
a） 咨询者应尽一切努力，高效地按国际专职咨询机构承认的技术和惯例，以及咨询标准履行咨询服务和义务。
b） 咨询者在履行与本合同时不应为私利而接受佣金、回扣或类似的款项。
c） 咨询者在每月月底将向“委托方”提交一份服务进度报告。
d） 所有按合同要求完成的咨询

Advisory services contract
This contract commissioned by the Advisory (XXX, hereinafter referred to as the commission) on the one hand, XXXX (hereinafter referred to the Advisory) on the other, on December 1, 2007 signed.
In view of the intent of the advisory commission to the completion of investment projects by the advisory services and advice to employers who have indicated that their demand for the services of professional and technical, personnel and technical resources, and agreed to provide services, the two sides hereby agree as follows terms of the signing of this contract:
