For the purpose of this Agreement, both Discloser and Recipient include all and any entity (i) which is directly or indirectly controlling the respective party; (ii) which is under the same direct or indirect ownership or control as the respective party; or (iii) which is directly or indirectly owned or controlled by the respective party. For these purposes, any entity shall be treated as being controlled by another if that the other entity has thirty percent (30%) or more of the votes in such entity and/or is able to direct its affairs and/or control the composition of its board of directors or equivalent body.
