【摘要】作为企业激励员工的主要方式之一,现代意义上的劳务出资制度自20世纪50年代由凯尔索提出以来,在美国得到不断地发展和广泛的认可,引起我国经济学界和法学界的广泛关注。新《公司法》拓宽了股东出资的渠道,对劳务出资没有明确的限制,但新修订的公司登记管理条例却明确的规定劳务不得作为股东出资形式。那么,依我国目前的经济现状,劳务能否作为公司法上的出资形式,其作为出资的难点又在何处,在日后又该如何立法来顺应经济的发展,本文试图从上述方面对我国公司劳务出资的可行性展开探究。
