摘要:现代企业本质上是所有者与经营者相分离的企业,于是企业与经营者之间形成了 “委托—代理关系”。在现实当中,委托—代理人的目标函数通常不一致,双方之间利益存在冲突,成为一种不合作的博弈关系。本文以台州市金属压铸有限公司为例,分析其在进行利润基数的考核中,运用联合确定基数法(HU理论)来解决这些问题,让经营者自愿“跳起来摘苹果”,达到激励相容。HU理论具有三大优点:1、超基数奖励系数高,即对代理人激励作用大;2、合同基数高,即对代理人约束作用大;3、节约时间,不需要进行讨价还价式的谈判。
