管理层薪酬激励研究
摘 要
良好的薪酬激励体系能够有效解决企业管理层与股东目标不一致所产生的委托—代理矛盾,降低代理成本,促进公司高管和股东之间形成利益共同体,激发高层管理人员的工作积极性和创造性,使其为股东和企业创造更多的价值和财富。科学有效的薪酬制度是企业吸引并留住人才、实现战略目标的重要手段,是企业长期可持续发展的重要保证。
本文综合运用委托代理理论、产权理论、管理激励等相关理论,在总结前人文献的基础上,对我国企业高层管理人员激励机制的现状和存在的问题进行了探讨和研究,着重分析了年薪制与股票期权计划在我国的应用情况和实施障碍,并在此基础上,结合本次全球金融危机对我国高管薪酬的影响, 力求通过薪酬机制的改革来探寻更好的应对措施,以完善我国企业高层管理人员的薪酬激励机制。
