5.1 Neither the final payment nor any part of any retained percentage shall become due until Contractor, if required by Company, shall deliver or cause to be delivered to Company a duly signed release or waiver on behalf of each laborer, vendor and subcontractor of all liens arising or which may arise out of this Contract, or receipts for payment in full in lieu thereof and, if required by Company, a similar release on behalf of Contractor.
5.2 Contractor shall also promptly notify Company of any claim of whatsoever kind or nature and shall submit timely notification of proceedings related thereto. In addition, Contractor agrees that no liens whatsoever shall be claimed or filed against Company’s Group or its premises by Contractor or any subcontractors (at any tier) relating to the Work under this Contract, and the right to any such lien is hereby waived to the fullest extent permitted by law.
