第一条 总则
1.1鉴于甲方 欲在中国国内外寻找投资项目，进行投资，甲方 与乙方协商同意，由甲方指定乙方为全权代表，授权 乙方可根据本协议所列的条款和条件，寻找投资项目、与项目融资方洽谈投资事宜。
第二条 代理
2.1甲方 与乙方 协商后，乙方作为甲方的全权代理并代表 甲方与项目融资方洽谈项目投资的相关事宜，乙方同意接受甲方的委托。
2.2在协议 有效期内，甲方不得指定其他任何人或单位为其代理人洽谈该项目投资的一切相关事宜。
2.3根据协议 乙方 作为甲方委托的全权代理，代表 甲方引进开发项目。经 乙方联系，项目方与 甲方签定项目合作协议，甲方 应予以承认乙方的代理行为并支付佣金。
第三条 甲方 的职责
3.1 甲方 应及时满足乙方 的合理要求，向乙方提供有关业务所需的信息，便于乙方与项目方洽商有关事宜。
3.2 甲方投资意向有所变动，或有其它变更时，应及时通知乙方并提供详细资料。
3.3 甲方必须保证所提供的一切有关资金的信息都是真实的、确切的。
第四条 乙方的职责
4.1本协议 期内乙方必须努力与项目方洽谈，向项目方取得最好的开发项目及最优惠的条款和条件，便于甲方 及时准备投资工作。
（1）应采取确实有效的办法为 甲方引进开发项目并促成 甲方与项目方签订投资合作 协议。
（2）尽全力为甲方的投资提供最优质的服务。
4.2在本协议 有效期内，未经甲方书面同意，乙方不得
（1）除甲方指定的全权代理人有关事项外，不得自命为甲方代理任何事项；
（2）以甲方的名义允诺或解决任何事宜，或以甲方的信用作担保，或代表 甲方做出任何保证或陈述，或使 甲方承担任何责任或业务；
（3）不论以任何方式从甲方处所获得的信息资料，皆属秘密，仅能为引进项目、服务于甲方所用，不得泄漏。

The first article-General rule
