本论文首先介绍的是破产法的起源，并且由破产法的起源引出了破产法在中国的发展情况以及现状。其次，介绍了我国新旧破产法中关于破产界限的定义，并且着重把新旧破产法中关于破产界限的定义加以比较，发现新旧破产界限的区别主要是清偿债务的问题上。再次，就是对于破产界限中的破产立法形式的研究。本文列举了世界上关于破产界限的两大立法形式：分别是大陆法系的概括主义形式和英美法系的列举主义形式。并谈论了我国关于破产界限的立法形式独具特色，既不同于欧洲国家也不同于英美国家。最后，详细地介绍了我国新破产法（2006年6月修订）出台的现实意义，并在此基础上对新破产法中存在的不足和不完善之处进行了列举。总之，破产法在中国尚处于起步发展的阶段，以后要走的路还能漫长，我们要做的就是更好地借鉴国外的经验，以便更好完善中国的破产法。
