5. CONTRACT NOVATION
Contractor and Employer hereby consent to the right of Shanghai Electric Group Company Ltd (SEC) or such other Party as
Contractor may designate, at any time to assume all the rights and obligations of Contractor under this Agreement by giving a
notice in writing to such effect to Contractor and Employer requiring Contractor and Employer to enter into the novation
agreement in the form as set forth in Schedule 2 (Form of Contract Novation Agreement). The Contract Novation Agreement shall
become effective on the Novation Effective Date (as defined therein). Contractor and Employer acknowledge and agree that
Contractor shall cease to have any rights or any liability for any obligations under this Agreement after the Novation
Effective Date, and SEC shall become a Party hereto without the need for any further action on the part of SEC and the rights
and obligations of Contractor u

5 .合同变更
承包方和资方在此同意权的上海电气集团有限公司（ SEC ）的或者通过其他党
承包商可指定，在任何时间，以承担全部的权利和义务，承包者根据本协定所给予
书面通知以这种效果，以承包方和资方要求承包方和资方进入更新
协议的形式所列附表2 （合同形式，约务更替协议） 。合同变更协议应当
