The Distributor shall immediately offer but not bounded to sell back to the company all of the products in respect of which the Distributor may have any rights of ownershp anf the Company shall be entitled but not bound by giving written notice to the Distributor to purchase from the Distributor all or any of such Products or any spares or replacement parts or other asserts relating hereto which are new ,unexpired,unused complete and undamaged at cost price or such price below costs price as shall be mutually agreed.
