1.“Technical Assistance” as used herein shall mean any assistance, training, and consultation, whether technical in nature or otherwise, relating to the manufacture, handling, assembly, operation, use, testing, quality control and maintenance of the Licensed Products and Equipment provided by Foreign party to Sino during the term of this Agreement.
2.In this event of any suit or threatened suit or claim against the Chinese Parties by any third party for infringement of industrial property rights, resulting from the manufacture, use or sale of the Licenses Products or the Equipment or the use of the Machinery, the Chinese Parties shall forthwith, upon receiving knowledge thereof, give written notice of any such suit or threatened suit to Foreign party and Foreign party shall show the Chinese Parties all relevant information, evidence and particulars in Foreign party’s possession which may assist the Chinese Parties in defending or otherwise dealing with such suit or threatene

3.双方都理解并同意，通过执行本协议的条款，将由外方转让或展示的技术和其他信息，将会在协议期限内，并在期限终止后直到同样的技术和信息在中方没有破坏协议的情况下，进入了公众领域或成为被广泛掌握的信息，严格保密。
