总则：甲、乙双方在遵守中华人民共和国法律的原则下，根据《合同法》、《商标法》，本着平等互利、竭诚合作、创新双赢的精神合作生产和销售 牌啤酒。
甲、 乙双方经过友好协商就 牌啤酒的生产和销售双方达成如下协议：
第一条：甲方受乙方授权，在甲方生产场地生产 牌啤酒。
第二条：甲方无权批准任何其它公司或个人在中国以外销售本产品。
第三条：甲方给乙方的价格是FOB秦皇岛，每箱35元人民币（1*24*345ml）。
第四条：甲乙双方的权利与义务
1、乙方拥有 牌啤酒的名称和商标权。
2、甲方须在当地商检局办理每一种决定出口产品的备案手续。
3、甲方必须保证产品的质量。如果出现质量问题，甲方赔偿该次订单的总额度的30%。
4、订货程序：A：乙方向甲方下订单；B：甲方用传真的方式确认乙方的订单（其中包括数量、价格、总金额、交货时间及地点）；C：乙方向甲方预付本产品包装物的最小批量采购费用；D：甲方生产前乙方向甲方预付本次订货总额的50%，甲方生产完毕乙方向甲方付50%的剩余货款（C项中的预付款可以抵扣本次订货货款包装物部分的费用）；E、甲方负责把货品运送到秦皇岛港。
5、如 牌啤酒在土耳其和土耳其以外的地区有商标侵权行为和受职能部门质疑的行为完全由乙方负责。
第五条：凡是由于自然灾害、政治、战争、外交关系等非人为因素造成的取消订单、失败、失误、延搁时间属于不右抗拒因素。不可抗拒因素造成的损失不属于违约，甲、乙双方不承担责任。
第六条：如遇原材料等大幅度涨价甲方需要上调价格时甲乙双方另行商议确定。
第七条：如果发生矛盾，双方应该本着友谊和解决问题的态度进行磋商。如果实在解决不了的，双方按照合同
