经甲、乙双方友好协商，本着互惠互利，共同发展的原则就贴牌销售缝制设备产品签订如下协议：
第一条：
1、 产品：产品为甲方生产的缝制设备
2、 商标：商标为乙方的注册商标
第二条：合作方式及条件
1、乙方需向甲方提供商标委托书。
2、乙方首批订单必须在50台以上。（一个品种或全系列产品）
3、乙方年销售量不可低于年度最低销量。（见附表）
4、乙方在签订协议之日起试销三个月后，销售业绩不达标，甲方将取消乙方的贴牌资格。
5．甲方不得销售乙方的贴牌产品。
第三条：价格
1．价格调整，甲方需提前七个工作日通知乙方。
2．甲方提供给乙方的价格。（见附表）
第四条：品质/售后服务
1．甲方提供给乙方的产品保证质量。
2．甲方产品免费保修三个月。
3、甲方保证乙方的零配件供应，在保修期内的零配件是用以旧换新的方式提供给乙方，超过保修期的零配件甲方将收取成本费。
第四条：订货/ 发货/ 验货
1、 每次订货乙方必须传真采购单给甲方，甲方确认后才发货，甲方不得接受口头或其它形式的订单。
2、 甲方按照乙方指定的地点、数量发货。
3、 若甲方所发的货与订单内容、型号、尺寸、颜色、品质不符，乙方于收贷之日起七个工作日内以书面的形式通知甲方补正。
第五条：保密
1、 乙方不得向第三人提及双方的合作事宜。
2、 乙方不得将其所知甲方有关营销方法或其它认为应保密资讯泄漏给第三者
第六条：结算方式
1、 现金
2、 付款形式：银行汇款
第七条：本协议有效期为_____年___月___日_____年___月___日止。
