本文从信用证软条款的概念、产生原因着手，对软条款问题作了全面介绍和阐述，并将研究的重点放在信用证软条款的法律性质、表现形式及减少和防范软条款风险的法律对策上，同时本文最终的研究目标是通过以上分析，提出一些建议，以求为完善我国信用证软条款立法提供相关参考和建议，并为外贸公司及银行提供有益的借鉴。
本文在信用证软条款的研究过程中，综合比较了国内外各种学说和观点，并结合相关案例和商业实践，运用系统科学、比较研究等方法，力求对信用证软条款风险有一个较全面的探讨，对信用证软条款法律问题进行了法学理论和实际操作上的探讨。对信用证软条款的性质、识别分类及防范救济予以多层次、多角度、多方法的系统研究。
本文共分为四章。第一章介绍信用证软条款的基本理论并阐述了对信用证软条款进行系统深入研究的必要性。第二章介绍目前研究者对信用证软条款性质的认定之后提出自己的观点。第三章对国际贸易中出现的信用证软条款分门别类，并找出信用证软条款的识别方法。第四章根据国际贸易的现状提出信用证软条款的防范方法和信用证制度的立法完善建议。
