a) Offer. Any Shareholder(s) (the party(ies) exercising the right described below being referred to herein as the “Offeror”) may offer to sell some or all of the Stock of the Company owned by the Offeror by giving the other party(ies) (collectively referred to herein as the “Offeree”) a written offer as hereinafter described. The Offeror shall specify the number of shares of Stock and the price per share at which Offeror is willing to sell his/their offered Stock of the Company to the Offeree. b) Mandatory Sale. Upon receipt of a written offer from the Offeror, the Offeree, shall have sixty (60) days to elect in writing whether to buy all but not less than all of the offered Stock of the Offeror at the price per share specified by the Offeror pursuant to the terms of paragraph 2(a) above.
