为进一步开拓A公司在中国市场业务，提高A在中国地区的市场竞争力。兹委托B在中国境内可以使用A的商标，相关产品在符合或等同于中国国家标准的技术和质量要求的框架内，进行XXX的生产和销售工作。中国地区XXX的生产、销售工作由B全权负责。
本委托书在双方签定的协议框架内有效，有效期为1 年，自2006年5月31日至2007年6月1日止，期限满之后，双方无异议本协议延期有效。
